These Terms & Conditions (“Agreement”) govern all services provided by Team Network Solutions (“Company,” “we,” “us,” or “our”), available at https://teamnetworksolutions.com/. By requesting services, signing a proposal, approving an estimate, submitting payment, using our website, opting into communications, or authorizing work to begin, the Client agrees to the following Terms & Conditions.
1. Company Information

Team Network Solutions provides managed IT services, cybersecurity solutions, cloud services, remote support, network administration, Microsoft 365 management, backup and disaster recovery solutions, infrastructure consulting, VoIP support, and related technology services.
2. Scope of Services
Team Network Solutions agrees to provide technology-related services as outlined in the approved estimate, proposal, service agreement, invoice, statement of work (“SOW”), or managed service agreement (“MSA”).
Services may include:
- Managed IT Services
- Remote Monitoring & Management (RMM)
- Cybersecurity Services
- Help Desk & Technical Support
- Microsoft 365 Administration
- Cloud Infrastructure Services
- Backup & Disaster Recovery
- Network Configuration & Management
- Wi-Fi & Firewall Management
- Server & Workstation Maintenance
- VoIP & Communications Support
- Security Monitoring
- Remote Assistance
- Hardware & Software Consulting
Any services requested outside the original scope may require additional approval and additional charges.
3. Estimates & Pricing
All estimates, proposals, and pricing are valid for thirty (30) days unless otherwise stated in writing.
Pricing may change due to:
- Vendor pricing increases
- Hardware availability
- Licensing cost changes
- Scope modifications
- Emergency support requests
- Third-party service fees
- Additional labor requirements
- After-hours or onsite support requests
Recurring managed service fees are billed according to the agreed service plan.
4. Payment Terms
Payment terms shall be outlined in the applicable invoice or service agreement.
Accepted payment methods may include:
- ACH Transfer
- Credit/Debit Cards
- Bank Transfer
- Zelle
- Check
- Online Invoice Payments
Late payments may result in:
- Service interruption
- Suspension of support
- Interest charges
- Collection fees
- Removal of licensing access
- Additional reinstatement fees
The Client remains responsible for all third-party subscription, licensing, cloud, hosting, or vendor fees unless otherwise specified in writing.
5. Scheduling & Service Availability
Project timelines and response times are estimates unless otherwise stated in a Service Level Agreement (“SLA”).
Service delays may occur due to:
- Vendor outages
- Internet service provider failures
- Hardware shortages
- Cybersecurity incidents
- Power outages
- Client approval delays
- Third-party software failures
- Natural disasters or force majeure events
Emergency support availability may vary depending on service plan level.
6. Client Responsibilities
The Client agrees to:
- Provide accurate account and contact information
- Maintain valid software licensing
- Provide required access credentials when authorized
- Maintain secure physical access to equipment
- Notify us of technical issues promptly
- Maintain proper backups unless backup services are included
- Cooperate during troubleshooting and support processes
The Client is responsible for ensuring employees follow reasonable cybersecurity practices.
7. Technology & System Limitations
The Client acknowledges that:
- No system is completely secure
- Cybersecurity threats continually evolve
- Software and hardware failures may occur unexpectedly
- Data loss risks exist despite backup procedures
- Third-party cloud services may experience outages
Team Network Solutions does not guarantee uninterrupted service, zero downtime, or complete prevention of cyberattacks, ransomware, phishing, malware, or unauthorized access attempts.
8. Change Requests
Changes to project scope, timelines, hardware requirements, software licensing, or service requests must be approved in writing.
Additional work outside the original agreement may result in:
- Additional billing
- Timeline adjustments
- Hardware procurement delays
- Service modifications
Verbal requests are not binding unless confirmed in writing.
9. Limited Warranty
Team Network Solutions provides a limited workmanship warranty on labor-related services for thirty (30) days unless otherwise stated in writing.
This warranty does not cover:
- Third-party software failures
- Hardware manufacturer defects
- Internet outages
- Cloud provider outages
- Cybersecurity incidents
- User negligence
- Improper system modifications
- Unsupported systems
- Pre-existing issues
- Force majeure events
Manufacturer warranties remain the responsibility of the manufacturer.
10. Cancellation Policy
Recurring managed service agreements may require written cancellation notice according to the contract terms.
Project cancellations after procurement, scheduling, licensing purchases, or labor allocation may result in:
- Non-refundable deposits
- Restocking fees
- Licensing charges
- Labor charges
- Early termination fees
Emergency support and completed labor are non-refundable.
11. Right to Refuse or Suspend Services
Team Network Solutions reserves the right to refuse or suspend services if:
- Payments are overdue
- Unsafe conditions exist
- Illegal activity is suspected
- Systems present cybersecurity risks
- The Client violates this Agreement
- Unauthorized software or pirated licensing is discovered
- Abusive or threatening behavior occurs
12. Project Completion & Acceptance
Projects shall be considered substantially complete upon:
- Delivery of agreed services
- Operational deployment
- Client walkthrough or review
- Final invoice issuance
The Client must notify Team Network Solutions of concerns within fourteen (14) days of completion.
13. Limitation of Liability
To the maximum extent permitted by law, Team Network Solutions shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Business interruption
- Data loss
- Cybersecurity incidents
- Third-party outages
- Loss of goodwill
- Ransomware damages
- Cloud provider failures
Total liability shall not exceed the total amount paid by the Client for the affected services during the previous three (3) months.
14. Indemnification
The Client agrees to indemnify and hold harmless Team Network Solutions, its owners, employees, contractors, and affiliates from claims arising out of:
- Client negligence
- Unauthorized system changes
- Illegal activity
- Licensing violations
- Security breaches caused by Client actions
- Third-party claims related to Client systems
15. Marketing & Portfolio Usage
Team Network Solutions may reference completed projects, service categories, or general business relationships for portfolio or marketing purposes unless otherwise prohibited by written agreement.
Sensitive information, credentials, internal infrastructure details, or confidential data will never be publicly disclosed.
16. SMS Messaging Terms & Compliance (CTIA & A2P Compliant)
Team Network Solutions may provide SMS communications related to:
- Technical support
- Appointment scheduling
- Service notifications
- Security alerts
- Billing reminders
- Project updates
- Customer service communications
Consent to Receive Messages
By providing your mobile number and opting into SMS communications, you consent to receive automated text messages from Team Network Solutions.
Consent is voluntary and not a condition of purchase.
Opt-Out Instructions
You may opt out at any time by replying:
STOP, CANCEL, UNSUBSCRIBE, END, or QUIT
You may receive one final confirmation message after opting out.
Help & Support
Reply HELP to any message or contact us through our website.
Message Frequency & Charges
Message frequency varies. Standard message and data rates may apply depending on your mobile carrier.
Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages.

No mobile information, SMS consent records, or text messaging opt-in data will be sold, rented, shared, or disclosed to third parties for marketing purposes.
17. Dispute Resolution
Any dispute arising under this Agreement shall first be attempted to be resolved through informal negotiation and mediation.
If unresolved, disputes shall be handled through binding arbitration in the State of Arizona unless otherwise required by law.
Each party shall bear its own legal fees unless otherwise awarded.
18. Governing Law
This Agreement shall be governed and interpreted under the laws of the State of Arizona.
19. Force Majeure
Team Network Solutions shall not be liable for delays or failure to perform caused by events beyond reasonable control, including:
- Natural disasters
- Power outages
- Cyberattacks
- Internet failures
- Vendor outages
- Supply chain shortages
- Government actions
- Labor shortages
- Acts of God
20. Entire Agreement
These Terms & Conditions, together with any signed proposal, invoice, service agreement, SLA, or statement of work, constitute the full agreement between the parties.
No verbal agreements shall modify these Terms unless confirmed in writing.
21. Severability
If any portion of this Agreement is determined unenforceable, the remaining provisions shall remain valid and enforceable.
22. Acceptance
By requesting services, approving estimates, submitting payment, using our website, opting into communications, or authorizing work to begin, the Client acknowledges and agrees to these Terms & Conditions.
23. Website Cookies, Privacy & Data Security
Cookies & Tracking

- Improve website functionality
- Analyze website traffic
- Enhance user experience
- Monitor website performance
- Remember preferences

WEBSITE DESIGN & DEVELOPMENT TERMS OF SERVICE
1. Scope of Work
The Developer agrees to provide website design, development, implementation, hosting-related assistance, and related digital services as outlined in the Client's proposal, estimate, invoice, service agreement, or subscription plan.
The specific services included may vary depending on the selected package and project requirements. Services may include, but are not limited to:
Included Services
- Custom website design and development
- Landing page design and development
- Multi-page website development
- Mobile-responsive design and optimization
- Contact forms and lead capture forms
- Basic search engine optimization (SEO) setup
- CMS (Content Management System) setup and configuration
- Website platform setup and configuration
- Domain and DNS configuration assistance
- SSL certificate installation assistance
- Website hosting setup assistance
- Third-party integrations
- CRM integrations
- Payment processor integrations
- Appointment scheduling integrations
- Email marketing integrations
- MLS and real estate listing integrations
- API integrations specifically outlined in the project proposal
- Basic website security configuration
- Website launch and deployment assistance
- Basic user training related to website administration
The number of pages, features, integrations, and deliverables included shall be defined within the Client's proposal, estimate, invoice, or service agreement.
The Developer reserves the right to determine the technical methods, software, platforms, frameworks, tools, and technologies used to complete the project unless otherwise agreed upon in writing.
Services Not Included
Unless specifically outlined in the proposal, estimate, invoice, service agreement, or subscription plan, the following services are not included:
- Custom software development
- SaaS platform development
- Mobile application development
- Advanced API development
- Custom coding beyond the agreed project scope
- Copywriting services
- Content writing services
- Blog article creation
- Logo design
- Brand identity development
- Graphic design services unrelated to the website
- Photography services
- Videography services
- Video editing services
- Advanced SEO campaigns
- Local SEO campaigns
- Search engine ranking guarantees
- Pay-per-click (PPC) advertising management
- Social media management
- Social media content creation
- Email marketing campaign management
- Ongoing maintenance services not included in a subscription plan
- Ongoing technical support not included in a subscription plan
- Accessibility compliance audits or certifications
- Legal compliance reviews
- ADA, WCAG, HIPAA, PCI-DSS, FACTA, GDPR, CCPA, or other regulatory compliance services
- Data migration not specifically included in the proposal
- Custom database development
- Custom integrations not included in the original scope
- Additional website pages beyond those included in the proposal
- Major redesigns after design approval
- Additional functionality requested after project approval
- Content population beyond the agreed amount
- Website hosting fees not included within the selected plan
- Domain registration fees
- Third-party software licensing fees
- Premium plugin subscriptions
- Email hosting services
Any services, features, integrations, modifications, revisions, requests, or deliverables not expressly included in the Client's approved proposal shall be considered outside the original scope of work and may require a separate written agreement, change order, additional setup fee, monthly service adjustment, or be billed at the Developer's current rate of $100.00 per hour. The Developer reserves the right to refuse requests that materially alter the agreed project scope without a revised agreement between both parties.
2. Revision Policy
Client shall receive up to three (3) revision rounds during the design and development process. A revision round consists of a consolidated list of requested modifications submitted by the Client.
Included revisions may consist of:
- Text updates
- Image replacements
- Color adjustments
- Minor layout modifications
- Minor design refinements
The following are not considered revisions and may require additional fees:
- New pages
- New functionality or integrations
- E-commerce additions not included in the original proposal
- Major design changes after approval
- Changes that alter the originally agreed project scope
Additional revisions beyond the three (3) included rounds shall be billed at a rate of $100.00 per hour.
3. Client Response Time
The Client agrees to provide requested content, approvals, feedback, and information necessary for project completion in a timely manner.
Projects that remain inactive due to lack of Client communication, content submission, approvals, or feedback for thirty (30) consecutive days shall be considered abandoned.
Abandoned projects may be paused, archived, or removed from the active development schedule.
A reactivation fee may be required before work resumes. Reactivated projects may also be subject to revised timelines, scheduling availability, and pricing.
4. Payment Terms
Project pricing consists of two components:
A. Setup Fee
A one-time setup fee shall be charged based on the specific requirements of the project, including but not limited to:
- Website design complexity
- Number of pages
- Custom functionality
- Third-party integrations
- API connections
- E-commerce requirements
- CRM integrations
- MLS integrations
- Custom development requests
The setup fee amount shall be outlined in the Client's proposal, estimate, invoice, or service agreement.
B. Monthly Subscription Fee
Following project launch, the Client shall pay a recurring monthly subscription fee.
Monthly pricing varies depending on:
- Hosting requirements
- Maintenance services
- Software licensing
- Website size
- Support requirements
- Additional features
- Integrations and connected services
Monthly subscription pricing shall be defined in the Client's proposal, estimate, invoice, or service agreement. Failure to maintain subscription payments may result in suspension of website services, hosting, maintenance, support, website access, or platform functionality until the account becomes current.
5. Third-Party Services
The Developer may utilize third-party services, platforms, software, APIs, plugins, hosting providers, CRM systems, payment processors, MLS integrations, marketing tools, analytics platforms, email providers, and other technologies as part of the project.
The Developer is not responsible for:
- Third-party service outages
- Service interruptions
- API changes
- Feature removals
- Pricing increases
- Security incidents occurring on third-party platforms
- Changes to third-party terms, policies, or functionality
Any fees associated with third-party services remain the responsibility of the Client unless otherwise stated in writing.
6. Maintenance & Support
Ongoing maintenance and support services are not included unless expressly stated in the Client's subscription plan or service agreement.
Maintenance services may include:
- Software updates
- Plugin updates
- Security monitoring
- Website backups
- Hosting management
- Uptime monitoring
- Content updates
- Technical support
Clients subscribed to a maintenance plan shall receive up to three (3) rounds of content or website modifications per month unless otherwise specified in their service agreement.
Any requests exceeding the included monthly revisions, or requests falling outside the agreed scope of support, shall be billed at $100.00 per hour.
Maintenance plans do not include:
- Major redesigns
- New website sections
- Custom software development
- New integrations
- E-commerce expansion
- Custom programming outside the agreed maintenance scope
7. Cancellation Policy
The Client may cancel services at any time by providing written notice.
Setup fees, development fees, and payments for work already completed are non-refundable.
For subscription-based services, cancellation shall terminate future recurring billing but shall not entitle the Client to refunds for prior payments.
If the website is provided under a subscription model, ownership rights remain subject to the terms of the subscription agreement.
8. Website Ownership
For subscription-based website plans, the website, design assets, code, templates, systems, proprietary development frameworks, and supporting infrastructure remain the property of the Developer unless otherwise agreed in writing.
The Client receives a non-exclusive, non-transferable license to use the website during the active subscription term.
Upon cancellation, non-payment, or termination of subscription services, the Developer may suspend or remove access to hosted systems, software, and subscription-related services.
Any transfer of ownership, source files, custom code, design files, databases, website assets, or intellectual property shall require a separate written agreement and may be subject to additional fees.
9. Portfolio Rights
The Developer retains the right to display completed projects, screenshots, designs, branding, website examples, and related materials within portfolios, marketing materials, social media, presentations, proposals, case studies, and promotional content unless otherwise agreed in writing.
